1. Agreement to Terms By accessing or using the Qlosium website, CRM platform, and related real estate referral and marketing services (collectively, the “Services”), you agree to be bound by these Terms & Conditions. If you do not agree with all of these terms, you are expressly prohibited from using the site and must discontinue use immediately.

2. Intellectual Property Rights Unless otherwise indicated, the website and Services including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics are owned or controlled by Qlosium and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited license to access and use the Services solely for your personal or internal business operations.

3. User Representations & Accounts By using the Services, you represent and warrant that:

All registration information you submit (including contact and territory details) is true, accurate, current, and complete.
You will maintain the accuracy of such information and promptly update it as necessary.
You have the legal capacity and agree to comply with these Terms & Conditions.
You are a licensed real estate professional (if signing up for agent/broker growth plans or territory routing).

4. Subscriptions, Fees & Payments

Billing: Certain Services or CRM growth plans require payment of fees. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the site.
Recurring Billing: Subscriptions automatically renew unless canceled prior to the renewal date in accordance with our cancellation policies.
Refunds: All fees and payments are governed by our separate Refund Policy.

5. Referral & Consumer Routing Disclaimer Qlosium connects real estate professionals with prospective buyers and sellers. Qlosium is not a real estate brokerage, lender, or legal advisor. We do not guarantee specific deal closures, conversion rates, or transaction values resulting from routed inquiries or lead packages. Real estate professionals are solely responsible for compliance with local licensing, fair housing laws, and professional standards.

6. Prohibited Activities You may not access or use the Services for any purpose other than that for which we make them available. Prohibited activities include:

Systematically retrieving data or content to create a collection, database, or directory without written permission.
Attempting to bypass security measures or access unauthorized platform features.
Engaging in automated use of the system, such as using scripts, bots, or data scraping tools.
Using the platform to transmit unsolicited commercial communications (spam).

7. Limitation of Liability In no event will Qlosium, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages including lost profit, lost revenue, or loss of data arising from your use of the site or Services.

8. Governing Law & Dispute Resolution These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any legal action or proceeding arising out of these terms shall be brought exclusively in the state or federal courts located in Wyoming.
